TERMS AND CONDITIONS FOR USE OF THE AMBIGÚ PLATFORM

SECTION I – AFFILIATED RESTAURANTS
1. Purpose of the Agreement
This document governs the relationship between Ambigú de Santa Fe SAPI de CV (“Ambigú”) and affiliated restaurants (“Restaurant”) that use the technology platform to offer products and services to end users, pursuant to the Federal Consumer Protection Law, the Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP), and the Commercial Code.
2. Services Provided by Ambigú
Ambigú offers a digital platform for managing online orders, loyalty programs, and optional logistics. Use of the system implies acceptance of the technical, operational, and commercial conditions defined by Ambigú.
3. Restaurant Obligations
The Restaurant agrees to: (a) prepare and deliver products hygienically and punctually, per applicable NOM standards; (b) keep its menu and pricing updated; (c) respond to support requests; and (d) comply with current sanitary and commercial regulations.
4. Pricing and Commissions
Ambigú charges the Restaurant a commission on each order’s value, per the current commercial agreement. Prices shown to the public must be final and include VAT in accordance with Article 1-A of the VAT Law.
5. Billing and Payments
Ambigú will issue valid tax invoices per SAT requirements. Settlements to the Restaurant will occur based on the agreed frequency, deducting commissions and service charges (logistics, campaigns, etc.).
6. Brand Use and Promotion
The Restaurant grants Ambigú a non-exclusive license to use its brand for digital promotions, social media, customer acquisition campaigns, and platform visibility. Any revocation must be submitted in writing.
7. Personal Data Protection
Ambigú acts as data controller or processor under the LFPDPPP. Both parties agree to implement administrative, technical, and physical safeguards to protect customer data.
8. Liability
The Restaurant is solely responsible for the quality, safety, and legality of the offered products. Ambigú shall not be liable for damages resulting from the Restaurant’s non-compliance, per Article 1910 of the Federal Civil Code.
9. Duration and Termination
This agreement has an indefinite duration. Either party may terminate it with written notice at least 15 days in advance. Ambigú may immediately suspend access in cases of serious breaches or repeated complaints.
10. Governing Law and Jurisdiction
This agreement is governed by Mexican law, specifically the Federal Consumer Protection Law, the LFPDPPP, and the Commercial Code. The parties submit to the jurisdiction of courts in Mexico City.
SECTION II – END USERS
1. Purpose
These Terms govern the use of the Ambigú platform by end users (“User”) who access it to place orders and/or make online purchases from affiliated establishments, per the Federal Consumer Protection Law and LFPDPPP.
2. Registration and Account
The User may create a personal account and is responsible for the truthfulness and updating of provided data. Use of the platform implies express acceptance of these Terms, as well as the Privacy Policy and Cookie use.
3. Platform Features
Users may:
(a) Search for affiliated restaurants;
(b) Place orders;
(c) Make online payments;
(d) Receive confirmation and tracking of orders;
(e) Rate experiences with partners and delivery drivers.
4. Relationship with Restaurants
Ambigú acts as a technological intermediary. The purchase agreement is between the User and the Restaurant. Ambigú is not liable for product quality or preparation/delivery errors when logistics are not operated by Ambigú.
5. Pricing, Payments, and Refunds
Prices shown include taxes. Users may pay via secure authorized platforms. In the event of a refund or dispute, they must contact support. Ambigú will resolve the issue in coordination with the Restaurant in accordance with the Federal Consumer Protection Law.
6. Reviews and Feedback
Users may leave public reviews on products or services received. Ambigú reserves the right to moderate or remove content that infringes third-party rights, is offensive, false, or illegal.
7. Personal Data Protection
Ambigú acts as data controller under the LFPDPPP. Users may exercise their ARCO rights at any time via the corresponding request form.
8. Intellectual Property
All content on the platform (texts, images, software, logos) is the property of Ambigú or its licensors. Unauthorized use is prohibited in accordance with the Federal Copyright Law.
9. Limitation of Liability
Ambigú does not guarantee permanent website availability and is not responsible for:
(a) Technical failures or third-party issues;
(b) Incidents caused by Restaurants;
(c) Delivery delays if not managed directly by Ambigú.
10. Governing Law and Jurisdiction
These Terms are governed by Mexican law. In case of conflict, parties submit to the jurisdiction of competent courts in Mexico City.
